Terms of Service & Beta Release Agreement

IMPORTANT NOTICE: THESE TERMS CONTAIN A BINDING ARBITRATION PROVISION AND WAIVER OF JURY TRIALS AND CLASS ACTIONS GOVERNING DISPUTES ARISING FROM USE OF THE BNX SOFTWARE SERVICES. IT AFFECTS YOUR LEGAL RIGHTS AS DETAILED IN THE SECTION TITLED "RELEASE OF LIABILITY & WAIVER OF RIGHTS." PLEASE READ CAREFULLY.

1. Acceptance of Terms

By accessing, downloading, or using the BNX Software website (www.bnxsoftware.com), mobile application, or inspection reporting services (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree, you must immediately cease use of the Service.

2. Nature of Beta Software (Read Carefully)

2.1 Experimental Phase: You acknowledge and agree that the Service is currently in a "Public Beta" testing phase. This means the software is experimental, unfinished, and technically unstable.

2.2 Assumption of Risk: You understand that using Beta software involves significant risks, including but not limited to:

  • Catastrophic software failure or crashes.

  • Complete or partial loss of data, inspection reports, and photos.

  • Incorrect calculations, reporting errors, or omitted data.

  • Downtime or service unavailability without notice.

2.3 No Reliance: You agree that you should not rely on the Service for critical business functions without maintaining a secondary backup system. You engage in this Beta test at your sole risk.

3. Release of Liability & Covenant Not to Sue

3.1 The Release: To the fullest extent permitted by law, you hereby generally RELEASE, WAIVE, DISCHARGE, and COVENANT NOT TO SUE BNX Software, InternetG, their officers, directors, employees, shareholders, agents, affiliates, successors, and assignees (collectively, the "Released Parties") from any and all liability, claims, demands, actions, and causes of action whatsoever arising out of or related to any loss, damage, or injury, including death, that may be sustained by you, or to any property belonging to you, whether caused by the negligence of the Released Parties or otherwise, while using the Service.

3.2 Indemnification: You agree to indemnify and hold harmless the Released Parties from any loss, liability, damage, or costs, including court costs and attorney fees, that they may incur due to your use of the Service or your violation of these Terms.

3.3 Limitation of Damages: In no event shall the Released Parties be liable for any direct, indirect, punitive, incidental, special, or consequential damages arising out of, or in any way connected with, your use of the Service or the delay or inability to use the Service.

4. Data Privacy & Ownership (Our Promise)

4.1 Your Ownership: You retain full and exclusive ownership of all inspection data, client information, photos, and reports you upload to the Service.

4.2 Strict No-Sell Policy: BNX Software DOES NOT AND WILL NOT SELL, RENT, TRADE, OR SHARE your personal data or your client's data with third parties, data brokers, insurance companies, or warranty firms.

4.3 Confidentiality: Your data is stored on secure servers and is treated as strictly confidential. It is accessible only by you and, where necessary, our technical staff solely for the purpose of maintenance and troubleshooting. We do not mine your data for marketing purposes.

5. License & Usage

5.1 Grant of License: We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your professional home inspection business.

5.2 Prohibited Acts: You may not:

  • Reverse engineer, decompile, or disassemble the software.

  • Resell, sublicense, or distribute the software to third parties.

  • Use the Service to transmit malicious code or viruses.

6. Subscription & Termination

6.1 Beta Period: Access during the Beta period is provided at the sole discretion of BNX Software and may be revoked at any time.

6.2 Termination: We reserve the right to terminate your access immediately, without notice, for any reason, including but not limited to a violation of these Terms or a request by law enforcement.

6.3 Survival: The provisions regarding Release of Liability, Indemnification, and Limitation of Damages shall survive any termination of these Terms or your use of the Service.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina. You agree that any legal action or proceeding between BNX Software and you for any purpose concerning these Terms or the parties' obligations hereunder shall be brought exclusively in a federal or state court of competent jurisdiction sitting in North Carolina.

8. Entire Agreement

These Terms constitute the entire agreement between you and BNX Software regarding the use of the Service and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written.

User Acknowledgement: By clicking "Sign Up," "Login," or "Download," you acknowledge that you have read this Agreement, understand it, and agree to be bound by its terms. You voluntarily agree to the waiver of liability and assumption of risk clauses contained herein.
