TERMS AND CONDITIONS

BNX Software LLC and InterNACHI® Terms and Conditions Effective Date: August 10, 2026

These Terms and Conditions govern access to and use of BNX Software provided by BNX Software LLC and InterNACHI® (together, "BNX Software LLC and InterNACHI®") through app.bnxsoftware.com and related services (the "Service").

Acceptance of Terms

By accessing or using the Service, you agree to these Terms and Conditions. If you do not agree, you must not use the Service.

Description of Service

The Service provides inspection management, scheduling, reporting, communication, workflow, and related software tools, including optional integrations with third-party platforms.

Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to promptly notify BNX Software LLC and InterNACHI® of any unauthorized use of your account.

Acceptable Use

You may use the Service only for lawful business purposes. You may not:

  • (a) upload or transmit malicious code;

  • (b) interfere with or disrupt the operation of the Service;

  • (c) attempt to bypass or defeat security controls;

  • (d) scrape or harvest protected system data;

  • (e) use the Service to send spam or other unsolicited communications; or

  • (f) use the Service in a way that could damage BNX Software LLC and InterNACHI® or other users.

Third-Party Integrations

If you connect a third-party service such as QuickBooks Online, you authorize BNX Software LLC and InterNACHI® to access and exchange the necessary data with that service on your behalf as needed to provide the requested integration functionality.

BNX Software LLC and InterNACHI® are not responsible for the functionality, security, availability, or policies of third-party services.

Customer Data Ownership

Your data remains your property.

Customer Data includes, without limitation:

  • your inspection reports and report files;

  • any templates, checklists, comment libraries, text blocks, and custom narratives you create or import;

  • any configurations, settings, or customizations you create in the Service;

  • any photos, images, videos, audio, diagrams, and other media you upload;

  • any notes, annotations, and internal comments you add; and

  • all related contact information and personal information that you or your users enter into the Service, including information relating to clients, customers, buyers, sellers, agents, brokers, contractors, tenants, landlords, occupants, vendors, and other persons connected with an inspection or transaction.

BNX Software LLC and InterNACHI® do not acquire ownership of your Customer Data. BNX Software LLC and InterNACHI® do not own your templates, do not own your comments or narratives, and do not own your media.

No Sale, No Sharing, No Solicitation

BNX Software LLC and InterNACHI® may use Customer Data only to provide, operate, secure, maintain, support, improve, and integrate the Service for your benefit.

BNX Software LLC and InterNACHI® will not sell, rent, trade, lease, license, broker, disclose, distribute, transfer, assign, or otherwise share Customer Data with third parties for their own commercial, advertising, marketing, solicitation, lead-generation, referral, data-brokerage, profiling, or other independent purposes.

BNX Software LLC and InterNACHI® will not use Customer Data to contact, market to, solicit, or provide services to any of the persons whose information appears in your account or reports, including your clients, customers, buyers, sellers, agents, brokers, contractors, tenants, landlords, occupants, vendors, or other contacts.

Limited License to Process Data

You grant BNX Software LLC and InterNACHI® a limited, non-exclusive, revocable license to host, store, back up, copy, transmit, and process Customer Data solely as necessary to provide the Service, maintain security, troubleshoot issues, prevent abuse, perform requested integrations, comply with law, and enforce these Terms.

This license does not transfer ownership of your templates, comments, narratives, media, or any other Customer Data to BNX Software LLC or InterNACHI®.

Limited Disclosure

BNX Software LLC and InterNACHI® may disclose Customer Data only:

  • (a) to cloud hosting providers, subprocessors, contractors, and service providers who need access to operate the Service and who are bound by confidentiality obligations;

  • (b) when required by law, subpoena, court order, or lawful governmental request;

  • (c) to investigate fraud, abuse, or security incidents; or

  • (d) with your express authorization.

Intellectual Property

The Service, including the software code, design, workflows, user interface, and any InterNACHI® or BNX Software LLC master libraries, comments, narratives, and related materials provided with the Service, is owned by BNX Software LLC and InterNACHI® or their licensors.

You may use such materials only as permitted through the Service. You may not resell, redistribute, sublicense, or extract any BNX Software LLC or InterNACHI® master library content as a standalone product or database.

Nothing in this section changes the fact that you own your own templates, comments, narratives, media, and other Customer Data.

User Content Warranty and Indemnity

You represent that you own or have the necessary rights to use the content you upload or create in the Service.

You agree to indemnify and hold harmless BNX Software LLC and InterNACHI® against claims arising from your content, your misuse of the Service, or your violation of these Terms.

Feedback

If you submit feedback or feature suggestions, BNX Software LLC and InterNACHI® may use that feedback without compensation or restriction. Such use does not transfer ownership of your Customer Data.

Beta Features

Some Service features may be identified as beta or early access features. Those features may contain bugs, may change at any time, and may be provided without warranties.

SMS and Text Messaging

The Service includes an optional feature that allows an inspection company to send automated text messages to its own clients, agents, and other parties involved in the company's inspections. This section describes how that feature works, what messages you may receive, and how consent and opt-out are handled.

What messages you may receive

When you provide your mobile phone number to an inspection company using the Service and consent to receive text messages, you may receive automated messages from that inspection company related to your inspection, including:

  • Confirmation that an inspection has been scheduled

  • Reminders in advance of the inspection

  • Notice that an inspection has been rescheduled or canceled

  • Notice that your inspection report is ready

These messages are sent on behalf of the inspection company that is providing your inspection service, using the Service's automated messaging feature. Messages are transactional in nature. The Service does not send marketing text messages.

Message frequency

Message frequency depends on the inspection activity of the inspection company you are working with and on your role in that activity. In most cases, a recipient will receive at most a few messages per inspection. Message frequency will vary.

Message and data rates

Message and data rates may apply. Standard messaging rates from your mobile carrier will apply to any text message you receive. Please consult your mobile carrier for details about your plan.

Sender and provider

Text messages are sent from a toll-free number owned by BNX Software, on behalf of the inspection company using the Service. Delivery is provided by Twilio, Inc., BNX Software's SMS delivery provider. Although the underlying phone number is owned by BNX, message content is set by the inspection company using message templates, so the content you receive is written and controlled by that inspection company.

Consent

Text messages are sent only to phone numbers that have affirmatively opted in to receive them. Opting in is a two-step process completed by your own action: requesting text updates (for example, by checking the text-updates box when booking online) and then clicking the confirmation link we email you. You may also opt in by texting START to a message you receive. Providing a phone number by itself does not opt you in, checking a box alone does not opt you in, and an inspection company cannot opt you in on your behalf — no text messages are sent until you confirm. When you complete your opt-in, a confirmation email documenting your consent is sent to you. Consent is recorded per phone number and per inspection company. Consent for one inspection company does not opt you in for any other inspection company. Consent is not a condition of purchasing any goods or services.

How to opt out

You may opt out of receiving text messages at any time by replying STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, or QUIT to any message. Your opt-out will take effect immediately. Once opted out, your number will not receive further text messages from any inspection company that has previously texted you through the Service. If you wish to receive messages again, reply START, UNSTOP, or YES to any message you previously received, or opt in again through a new booking or opt-in link.

Reply HELP or INFO to any message to receive information about how to contact BNX Software support and how to opt out. For additional questions about the Service's messaging feature, contact BNX Software support at support@bnxsoftware.com.

Errors and delivery problems

BNX Software will use reasonable efforts to deliver text messages accurately and promptly. BNX Software is not responsible for delays, failures, or errors in message delivery caused by mobile carriers or by any circumstances outside BNX Software's control.

Termination

You may stop using the Service at any time.

BNX Software LLC and InterNACHI® may suspend or terminate access to the Service for violations of these Terms, legal compliance needs, security risks, misuse of the Service, or other conduct harmful to BNX Software LLC and InterNACHI® or users.

Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the maximum extent permitted by law, BNX Software LLC and InterNACHI® will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of business, loss of goodwill, loss of data, or accounting errors arising from use of the Service or third-party integrations.

To the maximum extent permitted by law, the aggregate liability of BNX Software LLC and InterNACHI® arising out of or relating to the Service or these Terms will not exceed the amounts paid by you for the Service during the twelve months preceding the event giving rise to the claim, or one hundred U.S. dollars (US$100) if no fees were paid.

Updates to Terms

BNX Software LLC and InterNACHI® may revise these Terms and Conditions from time to time by posting an updated version with a revised effective date. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms.
